Terms of business

These terms apply to every service supplied by Serhat Dereli trading as ShowUpLondon ("we", "us") to a business customer ("you"). Our services are supplied to businesses only; by ordering you confirm you are acting in the course of a business. A signed quote or order confirmation, together with these terms, forms the whole agreement.
1. Services and what we need from you
We supply the services described on our website or in your quote: website design and hosting, Google Business Profile setup and maintenance, online booking setup, and an AI receptionist service. You will provide content, images, logins and approvals promptly and confirm you have the right to use everything you give us. Timescales run from the day we receive what we need. Work outside the agreed scope is quoted separately before we start.
2. Prices and payment
Prices are in pounds sterling and exclude VAT; we are not currently VAT registered. Setup fees and one-off projects are payable 50% on order and 50% on completion, or in full on order where stated. Monthly plans are billed monthly in advance from the day your site or service goes live. Invoices are due within 14 days. We may charge statutory interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend services while any invoice is more than 14 days overdue.
3. Minimum term and cancellation
Monthly plans have a minimum term of three months from the go-live date. After that either party may cancel with 30 days' written notice by email. Setup fees are not refundable once work has started. On cancellation we will provide your content and, on request, your site files in a standard format; hosting and any services included in the plan end on the cancellation date.
4. Ownership
Your domain name, brand, text, images and customer data are always yours. For monthly plans we licence you to use the website we build for as long as your plan is active; you may buy it outright at any time at the then-current Own It price less setup fees already paid. For Own It projects ownership of the bespoke design and content passes to you on payment in full. We keep ownership of our tools, templates, code libraries and know-how, and third-party components remain subject to their own licences. We may name you as a client and show the work in our portfolio unless you tell us not to.
5. Third-party services
Our services rely on third parties such as Google, Cloudflare, booking platforms, telephony and AI providers. Their accounts are opened in your name where possible and their fees, terms and availability are outside our control. We are not responsible for changes they make or for their downtime.
6. Data protection
Each of us will comply with the UK GDPR and the Data Protection Act 2018. Where we process personal data of your customers on your behalf (for example through a booking system or the AI receptionist) we act as your processor under a written data-processing agreement that forms part of this contract, and you remain responsible for having a lawful basis and giving your customers the required privacy information, including telling callers that calls are handled by an automated assistant and may be recorded. 7. What we promise, and what we cannot
We will supply the services with reasonable care and skill. We cannot and do not guarantee search-engine rankings, review scores, numbers of enquiries, bookings or revenue, or that any website or system will be uninterrupted or error-free. Statistics on our website come from the sources cited beside them.
8. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability arising from or in connection with the services in any 12-month period is limited to the fees you paid us in that period, and we are not liable for loss of profit, business, goodwill or data, or for any indirect or consequential loss.
9. General
You may not transfer this agreement without our consent; we may use subcontractors but remain responsible for them. Neither party is liable for delay caused by events outside its reasonable control. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction. No third party has rights under the Contracts (Rights of Third Parties) Act 1999.
